Director, Legal - Projects & Transactions, EMEA

Role Summary

This is an opportunity to be at the heart of STACK's EMEA data centre development and investment activity. As Director, Legal - Projects & Transactions, EMEA, you will be embedded with the teams shaping and delivering projects across the region, providing strategic and hands-on legal advice from the earliest opportunity assessment through acquisition, development, construction, leasing and operation. You will play a key role in structuring complex transactions, managing legal and commercial risk and providing practical solutions to support business objectives.

Key Responsibilities

• Lead legal support across STACK's EMEA development and investment portfolio, from early opportunity assessment and due diligence through acquisition, development, construction, leasing and operation.

• Be a trusted legal business partner to Development, Construction, Power, Commercial and Finance, engaging early in projects and transactions to shape structure, risk allocation and practical solutions that support business objectives.

• Lead the drafting, review and negotiation of key project and transactional agreements, including professional services agreements, frameworks, SPAs, joint venture and development agreements, PPAs and other power arrangements, easements and land rights, construction contracts and commercial leases.

• Shape and develop STACK's EMEA contracting strategy through standard forms, contracting positions, precedents, negotiation guidance and other tools that make delivery more consistent and efficient.

• Instruct and manage external counsel across EMEA where local law or specialist advice is required, ensuring advice is practical, timely and commercially focused while managing scope, quality and legal spend.

• Provide pragmatic advice on wider commercial, corporate and operational matters, identify and escalate material risks, and help strengthen legal processes and ways of working as the EMEA business develops.

What You'll Bring

• Qualified to practise law in the UK or an equivalent European jurisdiction.

• Significant post-qualification experience advising on complex transactional and project matters, gained in private practice, in-house or a combination of both.

• Experience in data centres, infrastructure, energy, real estate development, construction or other complex capital projects, ideally across multiple stages of the project lifecycle. Direct data centre experience is valuable, but strong experience from adjacent sectors is welcomed.

• Strong drafting and negotiation skills, with a track record of leading complex commercial discussions and achieving practical outcomes.

• Commercially minded, with sound judgement and the ability to assess legal and commercial risk, focus on what matters and give clear, actionable advice.

• Experience working across multiple EMEA jurisdictions and coordinating external or local counsel where required.

• Able to build trusted relationships with senior stakeholders, influence across functions and jurisdictions, take ownership of matters and manage competing priorities independently, balancing legal rigour with the need to keep projects moving.
